1. About SyncPay

SyncPay Pty Ltd (“SyncPay”, “we”, “us”, “our”) operates a fintech infrastructure platform that generates cryptographic transaction codes (SPTC) to link card payment records to itemised receipt data. These Terms govern your access to and use of syncpay.au and all associated services.

2. Acceptance of Terms

By accessing or using SyncPay, you agree to be bound by these Terms. If you do not agree, do not use the service. These Terms apply to all users including merchants, consumers, accountants, and API integrators.

You agree to use SyncPay only for lawful purposes and in a manner consistent with all applicable Australian laws and regulations. You must not:

5. Customer Accounts

Customers who create accounts must provide accurate business details including a valid Australian Business Number (ABN). You are responsible for all activity that occurs under your account. SyncPay reserves the right to suspend accounts that violate these Terms or that we reasonably suspect of fraudulent activity.

6. Billing

6.1 Customer Billing

Each SPTC Activity (POS receipt, invoice with SPTC reference, or Xero reconciliation) consumes one credit from your Customer plan allocation. Customer plans:

Hard-block over-limit (HTTP 429) applies to Micro and Professional tiers. Enterprise has a soft cap. All prices are in AUD and exclusive of GST unless stated otherwise. Billing is on a 28-day cycle.

6.2 Consumer Billing

The Consumer Free tier has no charge: bank feed connection, SPTC matching, and manual receipt lookup are always free.

The Consumer Pro tier is $7.99 per month and unlocks aggregate AI search, full spending analytics, budgeting tools, and AI insights. Pro subscribers may cancel at any time; no prorated refunds apply beyond the statutory rights set out below.

Under Australian Consumer Law, Consumer Pro subscribers have a 14-day cooling-off period from the first paid charge during which a full refund may be requested by emailing hello@syncpay.au.

7. Integrations and Bank Statement Descriptors

SyncPay integrates with third-party services including Square, Stripe, Shopify, Xero, PocketSmith, Up Bank, and Basiq. Your use of these integrations is also subject to the terms of those third parties. SyncPay is not responsible for third-party service outages or changes to their APIs.

When a Customer processes a payment through SyncPay, a 22-character descriptor in the form {merchant_prefix} SPTC{8_alphanumeric} (for example, COFFEESUP SPTCA1B2C3D4) is attached to the transaction and will appear on the Consumer’s bank statement. The Consumer acknowledges that this descriptor will be visible to anyone with access to their bank statement and is not considered private information.

8. Intellectual Property

All content, branding, code, and technology on syncpay.au is owned by SyncPay Pty Ltd. The SPTC system and its cryptographic methodology is proprietary. No licence is granted to reproduce, copy, or adapt any part of the service without written permission.

9. Limitation of Liability

To the maximum extent permitted by Australian law, SyncPay is not liable for any indirect, incidental, or consequential damages arising from use of the service. Our total liability in any circumstance is limited to the fees paid by you in the 3 months preceding the claim. Nothing in these Terms excludes or limits any rights that cannot lawfully be excluded under the Australian Consumer Law.

10. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.
